How much does it cost to incorporate a company in Mexico in 2026?+
Our fees start from $12,000 MXN plus VAT. Formalization and registry costs are third party expenses, paid separately and presented to you in writing before we start. The fee is fixed and agreed upfront.
Can foreigners own 100% of a Mexican company?+
Yes. In most economic activities foreign investors can hold 100% of the capital. Some activities have limits or require authorization under Mexico’s Foreign Investment Law; we review this with you before incorporating.
S. de R.L. or S.A. de C.V. if I have US partners or investors?+
For US tax purposes, an S.A. de C.V. is always treated as a corporation. An S. de R.L. de C.V. can elect pass through treatment (check the box). The right structure depends on your case, and the analysis is part of our proposal.
What is REPSE and does my company need it?+
REPSE is Mexico’s mandatory registry for providing specialized services or specialized works. Without a current registration, your clients cannot deduct your invoices and fines apply. If you provide or hire this kind of services, it is worth reviewing.
Do you work with foreign companies entering Mexico?+
Yes, it is a core part of the practice. The whole team works in Spanish and English, with fixed fees in pesos, in writing. We handle the full landing: incorporation, labor, REPSE, data and trademark.
Can a foreign company be a shareholder of the Mexican entity?+
Yes. A foreign company can be a partner or shareholder of an S. de R.L. or an S.A. The SAS does not allow it, because it only admits individuals. We design the structure between your parent company and the Mexican entity.
